Helix Mobile Wellness and Research – Terms of Service and Patient Agreement

Effective Date: September 1, 2015
March 22, 2026 (Last Updated)

1. Who We Are and What This Agreement Covers

This Terms of Service and Customer Agreement (the “Agreement”) is between you (“you” or “Customer”) and the Helix Entity that operates in the state or district where you are located at the time you receive Services (the “Contracting Entity,” “we,” “us,” or “our”). The Contracting Entity is identified in Appendix B. The Helix brand family is ultimately owned by Helix MWR Corporation, a Wyoming corporation, and includes affiliated entities and offices listed in Appendix B (collectively, the “Helix Entities”). You are entering into this Agreement only with your Contracting Entity, and no other Helix Entity is a party to this Agreement unless expressly stated in writing. For avoidance of doubt, “located” means your physical location upon which you designate as your initial shipping address (not your billing address) while receiving Services. “Services” includes scheduling, telehealth coordination, mobile services, laboratory coordination, pharmacy coordination, and related customer support. This Agreement governs your access to and use of the Helix mobile application and related websites (collectively, the “Platform”), and any Services we facilitate or provide through the Platform.

Helix makes available hormone therapy services for eligible adult men and women, generally individuals age 30 and older, for purposes that may include hormone optimization and wellness support. Helix also makes available transgender care services for eligible adult patients, generally individuals age 28 and older. All services are subject to provider evaluation, clinical appropriateness, patient eligibility, applicable law, and Helix’s then-current policies and procedures. Helix does not guarantee that any individual will qualify for, be prescribed, or continue to receive any particular treatment, medication, or service.

Helix may provide patients with access to concierge and care coordination support for certain administrative and non-emergency matters, which may include assistance with prescription refill coordination, laboratory testing coordination, appointment scheduling, and related logistical support. Such concierge services are offered solely as a convenience to patients and are intended to help facilitate communication, reduce administrative delays, and improve the overall patient experience. Concierge personnel do not provide medical advice, diagnosis, treatment, or clinical decision-making, and their involvement does not replace the independent medical judgment of licensed healthcare providers.

Helix may use software platforms, automation tools, and other operational systems to support care coordination, communications, scheduling, and administrative efficiency. While Helix seeks to promote accuracy, convenience, and timely service through these tools, Helix does not warrant that such systems will be error-free, uninterrupted, or available at all times, and patients remain responsible for reviewing communications, providing accurate information, and following provider instructions.

HELIX MWR MOBILE APPLICATIONS AND SERVICES ARE NOT INTENDED FOR EMERGENCY MEDICAL ATTENTION, EMERGENCY RESPONSE, OR URGENT CRISIS INTERVENTION. DO NOT USE THE HELIX MWR MOBILE APPLICATIONS OR ANY HELIX SERVICE TO SEEK EMERGENCY MEDICAL CARE. IF YOU BELIEVE YOU ARE EXPERIENCING A MEDICAL EMERGENCY, CALL 911 IMMEDIATELY OR GO TO THE NEAREST EMERGENCY ROOM.

BY CREATING AN ACCOUNT, ACCESSING THE PLATFORM, OR USING THE SERVICES, YOU AGREE TO THIS AGREEMENT. If you do not agree, do not use the Platform or Services.

2. Eligibility and Account Registration

  • You must be at least 18 years old to create an account. If you are a parent or legal guardian of a minor, you may request Services for that minor where permitted by applicable law and where a licensed clinician agrees to treat the minor.
  • You must be located in the United States in order to receive Services. Availability varies by state and clinician licensure; we do not guarantee Services will be available in every location.
  • You agree to provide accurate, current, and complete information, and to promptly update your account information.

3. Relationship to Clinicians, Labs, and Pharmacies

Helix facilitates access to clinicians (including physicians, nurse practitioners, and other licensed professionals) who are licensed in the states where they provide care. Clinical decisions, including whether to prescribe medication, order tests, or provide treatment, are made solely by the treating clinician, not by Helix.

Helix is not a primary care provider and does not replace your primary care clinician. You should maintain an ongoing relationship with a primary care clinician for routine preventive care and management of chronic conditions.

4. Patient Responsibilities and Safety Requirements

To help clinicians provide safe care, you agree to:

  • Provide complete and accurate medical history, medication lists, allergies, and relevant records, and promptly inform the care team of changes.
  • Follow clinician instructions for laboratory testing and follow-up visits.
  • Seek appropriate in-person care when a condition requires physical examination, urgent evaluation, or emergency services.
  • Consult your primary care clinician and specialists regarding any hormone, vitamin, supplement, or medication changes.

If you receive hormone therapy or other treatments that require periodic monitoring, you agree to obtain recommended follow-up testing and to communicate symptoms or adverse events promptly. Failure to complete required monitoring may result in suspension or termination of Services.

5. Telehealth and Electronic Communications

Telehealth has limitations. A clinician may determine that telehealth is not appropriate for your situation and may require an in-person evaluation or refer you to another provider. You are responsible for having reliable internet/phone access and for keeping your contact details current.

We use reasonable administrative, technical, and physical safeguards for electronic communications. However, no method of transmission over the internet or mobile networks is 100% secure.

Email and text messaging can carry privacy risks. Where available, we will use secure in-app messaging or a patient portal for sensitive communications. If you request communications by unencrypted email or SMS, we may accommodate that request consistent with applicable law and guidance, and we will document your preference. You may change your communication preferences at any time.

6. Privacy, HIPAA, and State Privacy Laws

Helix MWR is a “Covered Entity” as defined under the Health Insurance Portability and Accountability Act of 1996, as amended, and its implementing regulations (“HIPAA”), to the extent applicable to the services provided by Helix MWR. Helix MWR maintains policies and procedures designed to protect protected health information (“PHI”) in accordance with applicable law. Helix MWR may store and transmit health-related information using servers, platforms, and service providers that Helix MWR believes are configured and maintained in a manner intended to support HIPAA compliance, where applicable. However, no method of electronic storage, transmission, or processing is completely secure or guaranteed to be error-free. In addition, certain communications, technologies, networks, devices, and third-party services may be outside Helix MWR’s direct ownership or control, including internet service providers, mobile carriers, device manufacturers, email systems, and other third-party infrastructure.

Health and personal information privacy is important. Depending on your state, the nature of the Services, and which Helix Entity and clinician provides or facilitates your care, your information may be governed by:

  • HIPAA and applicable state medical privacy laws; and/or
  • State consumer privacy laws (for example, the California Consumer Privacy Act as amended by the CPRA and other state comprehensive privacy laws); and/or
  • State consumer-health privacy laws (for example, Washington’s My Health My Data Act) to the extent applicable.

6.1 HIPAA Notice of Privacy Practices (NPP)

If a Helix Entity and/or your treating clinician is a HIPAA “covered entity” or “business associate,” HIPAA requires that you receive a Notice of Privacy Practices describing permitted uses/disclosures of PHI, your rights, and our legal duties. Where required, we will provide the applicable NPP to you at or before the first Service encounter and will make it available on the Platform and upon request.

If you have questions about PHI uses/disclosures, how to exercise HIPAA rights (access, amendment, accounting of disclosures, restrictions, confidential communications), or how to file a complaint, contact us using the information in Section 17.

6.2 State Consumer Privacy Rights

Some state laws provide additional rights regarding personal information, which may include the right to access, correct, delete, or obtain a copy of your data; and the right to opt out of certain processing such as targeted advertising, sale, or sharing (as those terms are defined by applicable law).

Helix does not use personal information for targeted advertising, and Helix does not sell personal information for money. We also do not “share” personal information for cross-context behavioral advertising (as those terms may be defined under certain state laws).

To submit a privacy request, use the contact information in Section 17. We may need to verify your identity before fulfilling a request, and certain exceptions may apply (for example, retaining records required by medical record retention laws).

If our practices change in the future such that an opt-out right is required (for example, if we engage in a practice that a law defines as a “sale” or “sharing”), we will provide required notices and opt-out mechanisms.

6.3 Washington My Health My Data Act (if applicable)

If Washington’s My Health My Data Act applies to your interaction with the Platform (for example, if your consumer health data is collected in Washington), we will provide the required consumer health data privacy policy and obtain any required, specific, opt-in consent for collection and sharing/sale of consumer health data, separate from this Agreement. We will not condition Services on signing an authorization to sell consumer health data, and we will honor deletion and other rights as required.

We do not implement geofences around facilities providing in-person health care services for the purpose of identifying, tracking, collecting consumer health data, or sending health-related notifications or advertisements.

6.4 Data Security and Breach Notification

We maintain a written information security program appropriate to the nature of the data we handle. If we discover a security incident or breach involving protected or regulated data, we will provide notifications as required by applicable federal and state laws. Depending on the circumstances, notification obligations may arise under HIPAA breach notification requirements, state data breach notification laws, and (for certain non-HIPAA health apps and similar technologies) the FTC Health Breach Notification Rule. Accordingly, Helix MWR does not represent or warrant that any transmission, storage, or processing of health information will be completely secure, uninterrupted, or fully immune from unauthorized access, loss, corruption, delay, interception, or breach. Helix MWR cannot guarantee protection against all cybersecurity events, hacking incidents, data breaches, system failures, or other security-related or operational issues.

By using the Helix MWR services, you acknowledge and agree that electronic communications and data transmissions may involve some degree of risk, including risks associated with third-party systems and the devices and networks you use to access the services. Your use of the services constitutes your consent to Helix MWR’s collection, use, storage, and transmission of your information by electronic means, subject to Helix MWR’s Notice of Privacy Practices, Privacy Policy, and applicable law. Nothing in these Terms is intended to waive or limit any rights that cannot be waived under applicable law, including HIPAA and other applicable privacy, consumer protection, or healthcare laws.

7. Research Participation

Helix may conduct or support research related to wellness, hormones, vitamins, and outcomes. Your clinical care is not conditioned on agreeing to participate in research unless expressly stated and permitted by law.

If any activity constitutes human subjects research requiring informed consent under applicable law (including, where applicable, the federal Common Rule), you will be provided a separate research consent document describing the study, risks, benefits, confidentiality, and your rights. You may decline or withdraw from research participation at any time without affecting your ability to receive clinical care or Services, except where withdrawal is not feasible for already-collected data that has been de-identified or otherwise handled as permitted by law.

We may use de-identified and/or aggregated information for internal analytics, quality improvement, and research consistent with applicable law and ethical oversight.

8. Payments, Subscriptions, and Cancellations

Fees, program structures, and what is included may vary by state, clinician, and the specific Services you select. You authorize us (and our payment processors) to charge your payment method for amounts you approve and for recurring charges you agree to, including membership or program fees, add-ons, and amounts due for Services already provided or products already dispensed.

Assignment of Receivables. The Company may assign or transfer these Terms, in whole or in part, including any rights to payment or receivables, without restriction or consent. The Customer may not assign these Terms without the Company’s prior written consent. Any purported assignment in violation of this section shall be void.

Automatic renewal. If you enroll in a recurring plan, your plan will renew automatically at the stated cadence until you cancel. We will present required renewal disclosures, obtain affirmative consent, and provide a simple cancellation method as required by applicable state automatic renewal laws.

By purchasing, enrolling in, or using Helix services, you authorize Helix to charge your payment method on file for all applicable fees, including the $1,000 setup fee, the $450 monthly concierge fee, and any other charges you authorize or incur for medications, laboratory services, practitioner visits, diagnostic testing, administrative services, or other products or services provided in connection with your care.

The setup fee is charged for onboarding and initiation of services and may include, as applicable, account setup, creation of your electronic health record, administrative intake, care coordination initiation, practitioner evaluation scheduling or completion, and related startup services. The setup fee is earned upon processing and is non-refundable except as required by applicable law.

The monthly concierge fee is charged on a recurring basis for continued access to care coordination and concierge support associated with an active patient account. Such support may include refill coordination, laboratory coordination, scheduling assistance, communication support, administrative follow-up, and maintenance of staffing and operational capacity for active patients. You understand and agree that Helix allocates personnel, scheduling availability, and administrative resources in reliance on the continuation of active patient accounts and recurring billing authorization.

For billing and service-status purposes, you become an Active Patient upon the earliest occurrence of any of the following: (a) completion of a consultation with a practitioner, (b) completion or coordination of laboratory testing in connection with Helix services, or (c) prescription, dispensing, shipment, fulfillment, or provision of medication or treatment in connection with your care.

Once you are an Active Patient, recurring monthly charges will continue unless and until your cancellation request is properly submitted and processed in accordance with Helix’s required cancellation procedures. If you stop using the services, do not schedule appointments, do not respond to communications, or otherwise choose not to actively engage with care, your account may still remain active unless properly canceled, and recurring charges may continue.

Cancellation. You may terminate a recurring plan by submitting notice of cancellation to billing@helixbayarea.com, together with your name and account number, or through any in-application cancellation mechanism made available by Helix. Helix shall use commercially reasonable efforts to confirm receipt and processing of such cancellation within a commercially reasonable time. In the event you do not receive confirmation within two (2) business days, you are responsible for contacting customerservice@helixbayarea.com or the telephone number provided on the Platform to confirm that your cancellation request has been received and processed. With respect to any sixty (60) day contract, the contract term shall commence on the later of (a) the date medication is received or (b) the date required bloodwork with Helix is completed. Any cancellation occurring during such term shall constitute an early termination and shall be subject to a $700 early termination fee.

Helix subscription services are not initiated through the Helix mobile application. Enrollment occurs only after a patient schedules and confirms an appointment with the Helix concierge team and either completes the initial visit (typically a blood draw) or submits prior laboratory results for review. The monthly service fee is not activated until this onboarding process is completed and confirmed by the concierge team.

Because enrollment in the subscription service occurs through Helix’s concierge team rather than through the mobile application, cancellation is provided through the same or comparable communication channels used for enrollment and ongoing patient interaction, including direct contact with the concierge team by phone or email. Consistent with the California Automatic Renewal Law, Helix provides consumers with a clear and straightforward method to cancel their subscription using the same medium in which the subscription is activated or another commonly used communication channel.

Accordingly, where a subscription is not activated through the Helix mobile application, the law does not require the mobile application itself to serve as the cancellation mechanism, provided that consumers retain an easy-to-use cancellation method through the enrollment or primary interaction channel.

You are responsible for retaining written proof of cancellation. In the event of any billing dispute, chargeback, or payment dispute, Helix’s records regarding enrollment, practitioner consultation, laboratory coordination or completion, medication activity, account status, billing authorization, and cancellation receipt and processing shall be considered persuasive evidence of the services made available and the validity of the charges, to the extent permitted by applicable law.

Cancellation applies prospectively only. You remain responsible for all charges incurred or processed before the effective date of cancellation, including recurring fees associated with any period during which your account remained active and available for concierge support and care coordination. Helix is not required to provide retroactive cancellations, retroactive billing reversals, or refunds for failure to use the services, failure to contact Helix billing, or notice of cancellation sent to personnel other than Helix billing, except as required by applicable law.

You agree not to initiate a chargeback or payment dispute for charges that are consistent with these Terms, including charges incurred before proper cancellation is completed. If a chargeback or payment dispute is initiated for a valid charge, Helix reserves the right to present records of your authorization, enrollment, account activity, practitioner consultation, laboratory activity, medication activity, communications, and cancellation history in response to the dispute. Helix further reserves the right to suspend or terminate services on accounts subject to unresolved payment disputes, to the extent permitted by applicable law.

Refunds. Except as required by law, payments for Services already provided, clinician time, laboratory testing, and dispensed medications/supplies are non-refundable. If you believe you were billed in error, contact us promptly. If a plan includes a minimum commitment period or early-termination fee due to up-front costs (for example, medications or lab work ordered on your behalf), the commitment and fee amount will be clearly disclosed to you before you authorize the charge. Any such terms will comply with applicable law and will not limit rights you cannot waive.

Helix may bill patients for healthcare related services, including pharmaceuticals, diagnostic testing, clinical consultations, and care coordination services, as applicable to the services provided.

An individual becomes an active patient within the Helix system once the individual completes account activation and receives or schedules clinical services (such as consultations, laboratory testing, or related evaluations). Active patients are charged a recurring monthly fee beginning at $325 for concierge care coordination and administrative support services provided by Helix’s care team. These services include assistance with scheduling, care coordination, and patient support functions designed to facilitate efficient delivery of medical services.

Helix periodically evaluates the number of active patients and allocates concierge staff and care coordination resources accordingly in order to maintain service quality and responsiveness.

Helix may offer discounted membership or service plans to certain individuals, including friends or family members of Helix staff, subject to eligibility verification and program terms.

For individuals receiving services through Helix’s New York operations, participation may occur through invitation based membership programs, including the Helix Black Card Club. Membership opportunities may be offered through invitation or limited recruitment channels.

Participation in Helix services does not automatically enroll patients in research activities. Any participation in research studies will occur only after the individual has received appropriate disclosures and has provided informed consent in accordance with applicable research regulations.

9. Communications, Marketing Preferences, and Consent

Service communications. By creating an account and providing contact information, you consent to receive non-marketing communications related to your account and Services (for example, appointment reminders, lab coordination, care team messages, and billing notices).

Marketing communications. Where we send marketing texts or emails, we will do so only as permitted by law. You may opt out of marketing emails using the unsubscribe link in the message, and you may opt out of marketing texts by replying STOP or by using other provided opt-out methods. Opt-out requests are honored within the time required by law. Your wireless carrier may charge message and data rates. Consent to receive texts is not a condition of purchase for non-essential marketing messages.

10. Acceptable Use and Account Security

  • You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account.
  • Do not use the Platform for unlawful purposes, to interfere with Platform operations, or to access data that does not belong to you.
  • You may not reverse engineer, scrape, or misuse the Platform or proprietary materials.

11. Intellectual Property

All intellectual property, including the Platform, its content, software, mobile apps, pharmaceutical formulas, protocols and materials used by Helix is owned by another entity and not by Helix. Helix does not own any intellectual property. No ownership rights are transferred by these Terms. You are granted a limited, personal, non-exclusive, non-transferable sublicense to use the Platform for your personal, non-commercial use, subject to this Agreement. All IP are protected by intellectual property laws.

12. Disclaimers

THE PLATFORM AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” EXCEPT WHERE A WRITTEN WARRANTY IS EXPRESSLY PROVIDED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, HELIX DISCLAIMS ALL IMPLIED WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Medical care is individualized, and results vary from patient to patient. Helix does not guarantee any particular outcome, response, or benefit from evaluation, treatment, monitoring, medication, or other services. As with any medical treatment, hormone-related therapies and other services may involve known and unknown risks, side effects, adverse events, and complications, some of which may be serious or irreversible.

You understand and agree that Helix clinicians may recommend, prescribe, or administer treatments based on their independent professional judgment, current literature, evolving clinical practices, and the specific needs of the patient, and that such care may differ from guidance, statements, or recommendations published by the U.S. Food and Drug Administration (“FDA”), the Endocrine Society, the American Urological Association, or other governmental or professional organizations. Any such care remains subject to applicable federal, state, and local laws, rules, and regulations, as well as clinician judgment regarding appropriateness and patient safety.

By proceeding with care through Helix, you acknowledge that you have been advised to discuss, and have had the opportunity to discuss, with your treating Helix clinician and your primary care clinician, the risks, benefits, limitations, and alternatives associated with the recommended care.

You acknowledge that on March 3, 2015, the FDA issued a safety communication stating, in substance, that the benefit and safety of testosterone products had not been established for the treatment of low testosterone levels due solely to aging. Helix makes no representation that any hormone therapy is FDA-approved for a particular use unless expressly stated by the prescribing clinician.

Hormone-related medications and therapies may adversely affect fertility, including the potential for reduced fertility or permanent impairment of reproductive function, in both men and women. Such therapies may also affect reproductive organs and related bodily functions. Helix does not guarantee preservation of fertility, and you are solely responsible for discussing fertility preservation, reproductive planning, and appropriate fertility monitoring with qualified medical specialists before and during treatment.

Abnormal hormone levels, as well as symptoms sometimes associated with hormone imbalance, may be caused by conditions unrelated to hormone deficiency or optimization, including potentially serious underlying disorders. Such conditions may include malignancy, masses, endocrine disorders, or other significant medical issues. Symptoms such as fatigue, low libido, sexual dysfunction, weakness, cognitive complaints, mood changes, or similar concerns are not specific to hormone-related conditions and may require broader medical evaluation. Helix strongly recommends that all patients promptly consult their primary care physician or an appropriate specialist for comprehensive evaluation of these issues.

Helix does not provide comprehensive cancer screening, primary care, or general preventive healthcare services. Helix is not responsible for screening for, diagnosing, monitoring, or excluding cancer, tumors, growths, or other serious non-hormonal conditions, except to the extent expressly included in a particular service. Patients remain solely responsible for obtaining appropriate age-based and risk-based cancer screenings, annual physical examinations, preventive care, and follow-up testing through their primary care physician or other qualified specialists. Helix strongly advises patients to maintain an ongoing relationship with a primary care clinician and to complete all recommended screenings and evaluations consistent with applicable medical guidance.

Although Helix may offer certain laboratory testing or screening measures, including PSA screening for some male patients, such services are limited in scope and are not a substitute for comprehensive cancer surveillance, routine preventive care, or specialist evaluation.

Laboratory testing and phlebotomy may be an important part of treatment and monitoring through Helix. While Helix seeks to follow appropriate standards and procedures, blood draws and related services carry inherent risks, including pain, bruising, bleeding, infection, dizziness, fainting, hematoma, nerve irritation, nerve injury, or other complications. Helix does not guarantee that such complications will not occur.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL HELIX BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THE PLATFORM OR SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HELIX’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THIS AGREEMENT, THE PLATFORM, OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) $1,000 OR (B) THE AMOUNT YOU PAID TO HELIX FOR THE SERVICES GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS BEFORE THE EVENT. SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS OF LIABILITY, SO SOME LIMITATIONS MAY NOT APPLY TO YOU.

14. Arbitration Agreement and Class Action Waiver

  1. Informal resolution. Before starting arbitration, you agree to contact us and provide a brief description of the dispute and the relief you seek. We will try to resolve disputes informally.
  2. Agreement to arbitrate. Any dispute, claim, or controversy arising out of or relating to these Terms, the Services, or products (a “Dispute”) will be resolved by binding individual arbitration administered by JAMS under its Consumer Arbitration Rules and Minimum Standards located in Cheyenne, Wyoming, and not in court.
  3. Fees and costs. For consumer arbitrations, you will pay at most the JAMS consumer filing fee (currently $250). We will pay all other JAMS filing and case management fees and the arbitrator’s fees, as required by JAMS Minimum Standards and applicable law.
  4. Location and procedure. Arbitration will take place in Cheyenne, Wyoming unless JAMS rules provide otherwise. In the event that arbitration is required to take place in your state, you give Helix the right to select venue.
  5. Jury Trial and Class action waiver. To the fullest extent permitted by law, you and we each waive any right to a trial by jury and agree that any dispute will be resolved only on an individual basis. You and we waive any right to participate in a class, collective, representative, or private attorney general action against the other.
  6. Exceptions. Either party may bring: (a) an individual claim in small claims court (if eligible); (b) an action to stop unauthorized use or infringement of intellectual property; and (c) if required by applicable law, a request for public injunctive relief in court (for example, where such relief cannot be waived in arbitration).
  7. Opt-out. You may opt out of this arbitration agreement within 30 days of first accepting these Terms by emailing customerservice@helixbayarea.com with your name, email, and a statement that you wish to opt out. If you do not receive an email confirming your opt-out, please contact us again.
  8. FAA. The Federal Arbitration Act governs the interpretation and enforcement of this arbitration provision.

15. Termination

We may suspend or terminate access to the Platform or Services if you violate this Agreement, if required for safety, compliance, or legal reasons, or if a clinician determines care cannot be safely provided through the Services. You may terminate by closing your account and paying any amounts due for Services already provided.

16. Governing Law; Severability

Except as otherwise required by applicable law, this Agreement is governed by the laws of the State of Wyoming, without regard to conflict-of-law rules. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions will remain in full force and effect. Where arbitration does not apply, you and we agree to exclusive jurisdiction and venue located in Cheyenne, Wyoming.

Appendix C – HIPAA Notice of Privacy Practices

Effective Date:  January 22, 2026

This Notice of Privacy Practices (“Notice”) describes how medical information about you may be used and disclosed and how you can get access to this information. Please review it carefully.

1. Who Is Covered by This Notice

This Notice applies to the Contracting Entity and its workforce, and to other persons or entities that are required by law to follow this Notice when providing services on behalf of the covered entity (collectively, “we,” “us,” or “our”). If you receive care from independent clinicians using the Helix platform, those clinicians may have their own notices and privacy practices.

2. Our Duties

We are required by law to maintain the privacy and security of your protected health information (“PHI”); provide you with this Notice of our legal duties and privacy practices; follow the terms of this Notice; and notify you following a breach of unsecured PHI as required by law.

3. How We May Use and Disclose Your PHI

The following categories describe ways we may use and disclose PHI without your written authorization. Not every use or disclosure in a category will be listed.

  • Treatment: We may use and disclose your PHI to provide, coordinate, or manage your health care and related services (for example, communicating with other providers involved in your care).
  • Payment: We may use and disclose PHI to bill and collect payment for services (for example, to a health plan if applicable, or to validate coverage).
  • Health Care Operations: We may use and disclose PHI for operations such as quality assessment, training, licensing, auditing, compliance, and customer service.
  • Appointment Reminders and Service Communications: We may contact you about appointments, labs, follow-ups, and service-related information.
  • Individuals Involved in Your Care: Unless you object, we may share PHI with a family member, friend, or other person involved in your care or payment for care, consistent with law.
  • As Required by Law: We may disclose PHI when required by federal, state, or local law.
  • Public Health and Safety: We may disclose PHI for public health activities (for example, reporting certain diseases) or to prevent or lessen a serious and imminent threat to health or safety.
  • Health Oversight Activities: We may disclose PHI to oversight agencies for activities authorized by law (for example, audits, investigations, inspections).
  • Legal Proceedings and Law Enforcement: We may disclose PHI in response to a court order, subpoena, or other lawful process, or for certain law enforcement purposes as permitted by law.
  • Research: We may use or disclose PHI for research in limited circumstances as permitted by law, including with your authorization when required or as approved by an institutional review board or privacy board.
  • Organ and Tissue Donation: We may disclose PHI to organ procurement organizations as necessary to facilitate donation and transplantation.
  • Workers’ Compensation: We may disclose PHI for workers’ compensation or similar programs as authorized by law.

4. Uses and Disclosures That Require Your Written Authorization

Certain uses and disclosures of PHI require your written authorization, such as most uses and disclosures for marketing, and disclosures that constitute a sale of PHI. If we ever seek your authorization, you may revoke it in writing at any time, except to the extent we have already acted on it.

5. Your Rights

  • Get an electronic or paper copy of your medical record: You can ask to see or get a copy of your medical record and other health information we have about you. Ask us how to do this. We will provide a copy or a summary, usually within 30 days, and we may charge a reasonable, cost-based fee.
  • Ask us to correct your medical record: You can ask us to correct health information about you that you think is incorrect or incomplete. We may deny your request, but we will explain why in writing.
  • Request confidential communications: You can ask us to contact you in a specific way (for example, home or office phone) or to send mail to a different address. We will say yes to all reasonable requests.
  • Ask us to limit what we use or share: You can ask us not to use or share certain PHI for treatment, payment, or operations. We are not required to agree, and we may say no if it would affect your care. If you pay for a service in full out of pocket, you can ask us not to share PHI about that service with your health plan for payment or operations; we will agree unless a law requires us to share that information.
  • Get a list of those with whom we have shared information: You can ask for an accounting of disclosures of your PHI for the 6 years prior to your request, except for certain disclosures (such as for treatment, payment, and operations).
  • Get a copy of this Notice: You can ask for a paper copy of this Notice at any time, even if you agreed to receive it electronically.
  • Choose someone to act for you: If you have given someone medical power of attorney or if someone is your legal guardian, that person can exercise your rights and make choices about your PHI.
  • File a complaint if you feel your rights are violated: You can complain to us and to the U.S. Department of Health and Human Services. You will not be retaliated against for filing a complaint.

6. Changes to This Notice

Helix reserves the right to revise or update this Notice from time to time, as permitted by applicable law. Any revised Notice may apply to PHI that Helix already maintains, as well as PHI received after the effective date of the revision, to the extent permitted by law. This Privacy Policy explains how the Contracting Entity (“Helix,” “we,” “us,” or “our”) collects, uses, and discloses information about you when you use our website, mobile application, and related services (collectively, the “Services”). This Privacy Policy is intended to supplement (not replace) any HIPAA Notice of Privacy Practices that applies to a particular Helix entity or clinician relationship.

  • Account and contact information (for example, name, email, phone number, date of birth, address).
  • Health and wellness information you provide (for example, symptoms, goals, medical history, lab results, medications).
  • Communications (for example, messages with our care coordination team, support requests).
  • Payment information (processed by third-party payment processors; we receive limited payment metadata).
  • Device and usage information (for example, IP address, device identifiers, app interactions, and crash logs).
  • Approximate location derived from IP address for security and fraud prevention. We do not use geofencing for advertising or tracking around health care facilities.

2. How We Use Information

3. How We Share Information

We share information only as needed to operate the Services and provide care coordination.

  • With clinicians, laboratories, and pharmacies involved in your care and orders.
  • With service providers that perform services on our behalf (for example, hosting, customer support, messaging) under contracts that require confidentiality and security.
  • For legal and compliance reasons (for example, to respond to lawful requests, protect rights and safety, or during a business transaction such as a merger or asset sale).

No targeted advertising; no sale/share. Helix does not use personal information for targeted advertising and does not sell personal information for money. Helix also does not share personal information for cross-context behavioral advertising (as those terms may be defined under certain state laws).

Helix does not collect biometric identifiers or biometric information (such as faceprints, fingerprints, or voiceprints) as defined under the Illinois Biometric Information Privacy Act (BIPA). If this changes in the future, we will provide a separate biometric notice and obtain any required written consent before collection.

4. Cookies and Similar Technologies

We use cookies and similar technologies for essential functionality and limited analytics. We do not use third-party advertising cookies for targeted advertising.

You can control cookies through your browser or device settings. Some features may not function without essential cookies.

5. Data Retention

We retain information for as long as necessary to provide the Services and comply with legal obligations, including medical record retention requirements where applicable. Retention periods may vary by data type and applicable law.

6. Security

We use reasonable administrative, technical, and physical safeguards designed to protect information. No system is perfectly secure, and we cannot guarantee absolute security.

7. Your Privacy Choices and Rights

Depending on where you live and how your information is regulated, you may have rights to access, correct, delete, or obtain a copy of certain information. You may also have rights to opt out of certain processing (such as targeted advertising, sale, or sharing).
